These Terms of Service (the "Terms") govern your access to and use of the Pouchmade website and the manufacturing, research and development, and related services we provide (collectively, the "Services"). By accessing the website, submitting an inquiry, or engaging Pouchmade for Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.
Our Services
Pouchmade provides contract manufacturing, product development, and formulation services for oral pouch products. The website and its contents are provided for general information about our capabilities. Nothing on the website constitutes an offer to manufacture any specific product, and all engagements are subject to a separate written agreement, quote, or statement of work between you and Pouchmade.
Quotes, Orders, and Payment
Pricing, minimum order quantities, timelines, and specifications are established in written quotes or agreements. Quoted timelines are estimates and depend on sample approval, deposit received, artwork submitted, and confirmed ingredients in stock. Unless otherwise agreed in writing, invoices are due as stated on the invoice, and production is not scheduled until required deposits are received.
Samples and Development Work
Development samples are produced for evaluation purposes only and are not for resale. Approval of samples establishes the agreed reference standard for production. Additional development rounds beyond those included in an engagement may be billed separately.
Customer Responsibilities
You are responsible for the accuracy of all information, artwork, formulas, claims, and specifications you provide to us, and for ensuring your products, labeling, and marketing comply with the laws and regulations of every market where you sell. Pouchmade does not provide legal or regulatory advice.
Intellectual Property
You retain ownership of your trademarks, brand assets, and any formulas or specifications you supply. Pouchmade retains ownership of its manufacturing processes, know-how, base formulations, and any intellectual property it develops independently or prior to an engagement, except as expressly transferred in a written agreement. Website content, including text, graphics, and logos, is owned by Pouchmade and may not be reproduced without permission.
Confidentiality
Each party agrees to protect the other's non-public business, technical, and product information disclosed in connection with the Services and to use it only for purposes of the engagement, subject to any separate non-disclosure agreement between the parties, which controls if it conflicts with these Terms.
Warranties and Disclaimers
Except as expressly stated in a written agreement, the Services and the website are provided "as is" and Pouchmade disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, Pouchmade will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the Services or these Terms. Pouchmade's total liability for any claim arising out of an engagement will not exceed the amounts paid by you to Pouchmade for the specific order giving rise to the claim.
Indemnification
You agree to indemnify and hold Pouchmade harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your products as marketed and sold by you, your specifications, artwork, or claims, or your breach of these Terms or applicable law.
Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The state and federal courts located in Dallas County, Texas will have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to venue and personal jurisdiction in those courts.
Changes to These Terms
We may update these Terms from time to time. The revised Terms will be posted on this page with an updated "Last updated" date. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
